What Is Law?

To prove legal liability, you must prove the following four elements: 1) a duty; 2) breach of that duty; 3) causation; and 4) harm or loss. The last element, harm or loss, determines whether a case can be filed and what compensation can be awarded.

Contracts

Contracts are legal agreements between two or more parties that specify certain rights and obligations pertaining to the transfer of goods, services, or money. When a contract is breached, the injured party may seek judicial remedies such as damages or rescission.

To be a valid contract, it must contain a few elements, including an offer, acceptance of that offer, consideration to be received, and signatures from all the parties involved. It must also include legal capacity and meet all other common law requirements.

Regardless of whether a contract is in writing or oral, courts will read it as a whole and construe its terms according to their ordinary meanings. Negotiated terms are given greater weight than standard-form or boilerplate terms, and specific terms prevail over general ones unless the parties clearly intended something else.

Business Law

Business law covers the laws and regulations that govern commercial operations. These laws are designed to prevent illegal or unfair competition and protect consumers.

Every business, large or small, is required to comply with their respective legal regulations. They include the taxation system for different types of businesses, the level of competition, and antitrust.

The methods used by the federal, state, and municipal governments to determine how much tax each individual owes are governed by the laws of taxation. Taxes covered by these statutes include estate, corporate, excise, and income taxes, to name a few.

The government can punish anyone who disobeys these rules in addition to enforcing them. This is done to discourage avoidance and evasion.
